For the negotiation and drafting of a wide variety of contracts between the parties involved in the business relationship, and the management of this relationship (legal and contractual guarantees; engineering contracts; technology transfers; turnkey contracts, etc.). - When drawing up sales and purchasing documents (B2B and B2C general terms and conditions; distance selling)
The firm also handles corporate law issues, including :
- Choice of the most appropriate legal structure, drafting of shareholders’ agreements, issuance and conversion of all types of securities, legal secretarial services for all types of civil and commercial companies, including all forms of complex capital transactions (increase in share capital “coup d’accordéon”, changes in capital structure during the life of the company).
- Advice on mergers and acquisitions: acquisition and sale of companies and businesses, mergers, demergers, partial contributions of assets, universal transfer of assets; to this end, the firm assists its clients at every stage of the transaction: company evaluation, conducting various audits (tax, social, legal), drafting of various pre-agreements (confidentiality agreement, letter of intent, negotiation), agreements (memorandum of understanding, promise to purchase/transfer, purchase/transfer agreement), guarantees (assets and liabilities guarantee, first demand guarantee).
